Everysk Website Terms of Use

Acceptance
These Website Terms of Use (the “Terms”) govern your access to and use of everysk.com, docs.everysk.com, and any other Everysk-operated website (collectively, the “Website”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
These Terms are between you and Everysk Technologies Inc., a Delaware corporation with principal offices at 413 W 14th St., New York, NY 10014 (“Everysk,” “we,” “us”).

Use of the Software or Services is Governed Separately
Access to and use of Everysk’s Software or Services (including the Everysk Platform, API, Python SDK, and Excel Add-in) is provided only under a separately signed Master License Agreement, Pilot Agreement, or other written agreement between Everysk and the contracting Subscriber (each, a “Subscriber Agreement”). These Terms do not grant any right to access or use the Software or Services. If you have entered into a Subscriber Agreement, your use of the Software or Services is governed exclusively by that agreement, and nothing in these Terms modifies it.

Permitted Use of the Website
Subject to these Terms, you may use the Website to:

  • View information about Everysk, our products, and our company;

  • Read product documentation made publicly available at docs.everysk.com;

  • Request a demonstration, contact sales, subscribe to communications, or otherwise interact with the forms and contact features provided;

  • Download materials that we expressly make available for download.

Prohibited Use of the Website

You will not, and will not authorize or assist any third party to:

  • Use, reproduce, distribute, modify, or create derivative works of any content on the Website except as expressly permitted;

  • Scrape, crawl, harvest, or otherwise extract content from the Website by automated means without our prior written consent, except as permitted by our robots.txt file for standard search-engine indexing;

  • Use Website content, in whole or in part, to train, fine-tune, or otherwise develop any artificial intelligence model, machine-learning system, or competing product or service;

  • Attempt to access non-public areas of the Website, probe or test for vulnerabilities, or circumvent any access-control, rate-limiting, or security feature;

  • Impersonate any person or misrepresent your affiliation with any person;

  • Use the Website to transmit malware, send unsolicited communications, or engage in any activity that violates applicable law.

Intellectual Property
The Website and its content — including text, graphics, logos, images, software, the “Everysk” name, the Everysk logo, and any product names — are owned by Everysk or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you, by implication or otherwise.

No Investment, Legal, or Tax Advice
Information on the Website, including descriptions of Everysk’s Software or Services, case studies, blog posts, and any output displayed within product demonstrations, is provided for informational purposes only. It is not, and should not be construed as, investment advice, a recommendation to buy or sell any security or financial instrument, or legal, tax, accounting, or compliance advice. You are solely responsible for your own investment, regulatory, and business decisions. Statements on the Website regarding future plans, performance, or product capabilities are forward-looking and reflect Everysk’s expectations as of the date posted. Actual results may differ materially.

Third-Party Links and Materials
The Website may link to or display content from third parties. Everysk does not control and is not responsible for any third-party site, service, or content. Inclusion of a link is not an endorsement.

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. EVERYSK DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERYSK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EVERYSK’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND YOUR USE OF THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THIS SECTION LIMITS ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. This Section 10 applies only to your use of the Website under these Terms. Liability between Everysk and a Subscriber arising from use of the Software or Services is governed exclusively by the applicable Subscriber Agreement.

Changes to These Terms
Everysk may update these Terms from time to time. The updated Terms will be posted at this URL with a revised Effective Date. Your continued use of the Website after the Effective Date constitutes acceptance of the revised Terms.

Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in the Borough of Manhattan, City of New York, and you consent to the jurisdiction of those courts.
